This Publicity / Logo / Case Study Consent (“Consent”) is entered into as of ____________ (“Effective Date”) by and between:

Each a “Party” and together the “Parties”.
1. PURPOSE
1.1 Purpose. The Parties wish to allow SageSims to reference Customer’s use of SageSims products and services for marketing, educational, and publicity purposes, including but not limited to:
(a) SageSims Decision Readiness Lab and Campus Lab;
(b) SageSims Simulation Coach Academy;
(c) Decision Readiness Intensives;
(d) All Hands Simulation Days; and
(e) Decision Readiness Blueprint, Decision Readiness Action Lab, and related advisory services.
1.2 Voluntary consent. This Consent allows SageSims to use Customer’s name, logo, quotes, and case study information, and to draw on anonymized scenarios, in the ways described below.
2. DEFINITIONS
2.1 “Marks” means Customer’s names, logos, and brand identifiers provided to SageSims for permitted use.
2.2 “Case Study Content” means information about Customer’s context, objectives, challenges, SageSims engagement, and results, which may include narrative descriptions, high level metrics, and quotes.
2.3 “Publicity Materials” means marketing, promotional, or educational materials created or used by SageSims in any format, including websites, presentations, proposals, conference talks, videos, whitepapers, and social media.
2.4 “Anonymized Scenario” means a description of a situation, challenge, decision, or simulation that draws on Customer’s experience but is stripped of direct identifiers such as Customer name, logo, and uniquely identifying details, so that third parties cannot reasonably identify Customer.
3. GRANT OF PERMISSION
3.1 General publicity rights. Customer grants SageSims a non exclusive, worldwide, royalty free right to use Customer’s:
(a) company name;
(b) Marks; and
(c) Case Study Content,
in Publicity Materials, solely to reference Customer as a SageSims client and to describe the nature and impact of SageSims work with Customer.
3.2 Media and channels. The rights in Section 3.1 include use in:
(a) SageSims websites and landing pages;
(b) pitch decks, proposals, and RFP responses;
(c) conference presentations, webinars, and panel discussions;
(d) email campaigns and digital ads;
(e) printed collateral; and
(f) customer stories, whitepapers, and videos.
3.3 No transfer of ownership. Customer retains all ownership rights in its Marks and background materials. SageSims retains ownership of its own materials. This Consent grants usage rights only.
4. LOGO AND NAME USAGE
4.1 Logo display. Customer authorizes SageSims to display Customer’s name and logo:
(a) in client logo walls and “customers” sections on SageSims websites and decks;
(b) in lists of representative customers; and
(c) alongside case studies, quotes, or descriptions of Customer’s use of SageSims.
4.2 Brand guidelines. SageSims will use Customer’s Marks in a manner consistent with any reasonable brand guidelines provided in writing by Customer, and will not materially alter the Marks without written approval.
4.3 Right to withdraw logo use. Customer may withdraw consent for future use of Customer’s Marks upon thirty (30) days’ written notice. After that period:
(a) SageSims will remove the Marks from new or easily updatable digital content; and
(b) previously printed or already distributed materials may continue to be used until exhausted, but will not be reprinted with the Marks.
5. CASE STUDIES, QUOTES, AND METRICS
5.1 Case study development. With Customer’s cooperation, SageSims may develop written or visual case studies that describe:
(a) Customer’s context, goals, and challenges;
(b) the SageSims products and services used;
(c) the simulation or decision readiness approach; and
(d) outcomes, including qualitative and quantitative results, where agreed.
5.2 Quotes and testimonials. Customer authorizes SageSims to use:
(a) quotes or testimonials provided by Customer’s approved representatives; and
(b) job titles and organizational affiliations for attribution,
in Publicity Materials, provided that SageSims uses them accurately and in context.
5.3 Draft review and approval. For any named case study or quote that identifies Customer by name:
(a) SageSims will provide Customer with a draft for review before first publication;
(b) Customer will use reasonable efforts to review and respond within fifteen (15) Business Days; and
(c) Customer may request factual corrections or reasonable clarifications. The Parties will work together in good faith to finalize content.
5.4 Metrics and results. Customer authorizes SageSims to reference high level, agreed results from simulations and decision readiness work, such as:
(a) percentage improvements in confidence, alignment, or readiness scores;
(b) qualitative statements about improved coordination, trust, or resilience; and
(c) anonymized descriptions of decisions practiced or tested,
so long as these are accurate, not misleading, and within the scope of Customer’s approvals.
6. ANONYMIZED SCENARIOS AND PATTERNS
6.1 Use of anonymized scenarios. SageSims may create Anonymized Scenarios that draw on Customer engagements and use them:
(a) for future simulations and training;
(b) in thought leadership and educational content; and
(c) as examples in presentations and workshops.
6.2 No identification. SageSims will not intentionally include details in Anonymized Scenarios that would allow a reasonable third party to identify Customer, unless Customer has specifically approved a named case study under Section 5.
6.3 Customer collaboration. Where Customer has unique constraints or sensitivities, the Parties may agree in writing on additional anonymization standards for that engagement
7. LIMITS, SENSITIVITIES, AND CONFIDENTIAL INFORMATION
7.1 No disclosure of Confidential Information. SageSims will not disclose:
(a) Customer’s trade secrets;
(b) specific vulnerabilities, incidents, or sensitive risk exposures that Customer identifies as confidential; or
(c) any non public financial or strategic information,
except as expressly approved in writing by Customer or as already publicly disclosed by Customer.
7.2 Sensitive topics. If a case study or scenario touches on sensitive areas such as security incidents, regulatory matters, or crisis scenarios:
(a) SageSims will handle such topics carefully and in coordination with Customer; and
(b) Customer may require additional review before public use.
7.3 Internal use. SageSims may use information from the engagement internally for training, quality improvement, and product development, subject to existing confidentiality obligations under the Parties’ agreements.
8. TERM, REVOCATION, AND EFFECT OF WITHDRAWAL
8.1 Term. This Consent begins on the Effective Date and continues until:
(a) it is withdrawn in full under Section 8.2; or
(b) the commercial relationship between the Parties ends and SageSims has completed a reasonable wind down of materials.
8.2 Revocation. Customer may revoke this Consent in whole or in part (for example for logo only, or for new case studies only) upon thirty (30) days’ written notice. The Parties will specify in writing:
(a) which elements are revoked; and
(b) any transitional steps or timelines for removal.
8.3 Effect on existing materials. Revocation does not require SageSims to:
(a) recall or destroy previously printed or widely circulated materials; or
(b) remove mentions from historical artifacts such as conference recordings or archived web pages,
provided SageSims stops creating new materials with the revoked elements after the notice period.
9. NO ENDORSEMENT AND NO PAYMENT
9.1 No implied endorsement. SageSims will not state that Customer endorses SageSims beyond being a customer that has used SageSims products and services, unless Customer explicitly approves an endorsement statement.
9.2 No additional compensation. Except as may be agreed separately in writing:
(a) Customer receives no monetary compensation for granting this Consent; and
(b) this Consent does not change any commercial terms such as fees or discounts under other agreements.
10. RELATIONSHIP TO OTHER AGREEMENTS
10.1 MSSA and NDA. This Consent is intended to supplement, not replace:
(a) any Master Subscription and Services Agreement between the Parties; and
(b) any Mutual Non Disclosure Agreement or similar confidentiality agreement.
If there is a direct conflict between this Consent and a fully signed MSSA, the MSSA controls for the conflicting issue.
10.2 Data protection. To the extent this Consent involves use of personal data (for example named quotes with job titles), such use will comply with applicable data protection laws and any Data Processing Addendum or privacy commitments in place between the Parties.
11. GOVERNING LAW AND MISCELLANEOUS
11.1 Governing law. This Consent will be governed by the same law that governs the main commercial agreement between the Parties. If no such agreement exists, it will be governed by the laws of __________________________, without regard to conflict of law rules.
11.2 Entire agreement on publicity. This Consent is the entire agreement between the Parties specifically about publicity, logo use, and case study consent, and supersedes any prior discussions on these topics, unless a later signed document expressly states that it overrides this Consent.
11.3 Amendments. Any changes to this Consent must be in writing and signed or electronically accepted by both Parties.
11.4 Counterparts. This Consent may be executed in counterparts, including electronic signatures, each of which is deemed an original and together form one instrument.
