SageSims Terms of Use
Effective Date: December 1, 2025
These Online Terms of Use (“Terms”) govern your access to and use of the SageSims websites, platforms, and online services, including any content, functionality, and services offered through them (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
These Terms are a legal agreement between you and SageSims LLC (“SageSims”, “we”, “us”, or “our”).
1. Scope of Services
The Services include, as applicable:
SageSims Decision Readiness Lab
SageSims Campus Lab
SageSims Simulation Coach Academy
SageSims Onsite and Virtual Decision Readiness Intensives
SageSims Onsite and Virtual All Hands Simulation Days and add-on sessions
SageSims Decision Readiness Blueprint
SageSims Decision Readiness Action Lab
Any related websites, portals, dashboards, and support channels that link to these Terms
Certain services may be delivered in person or via third party platforms. These Terms still apply to your use of SageSims content and systems, together with any additional terms that may be presented in an Order Form, Statement of Work, or program-specific documentation.
2. Relationship to Other Agreements
If you or your organization has entered into a separate written agreement with SageSims, such as a Master Subscription and Services Agreement, Data Processing Addendum, Order Form, Statement of Work, or Professional Services Agreement (collectively, “Customer Agreements”), those Customer Agreements govern to the extent of any conflict with these Terms.
These Terms work together with the following documents, which are incorporated by reference:

If you access the Services as part of an organizational deployment, your use is also subject to your employer’s or institution’s internal policies.
3. Eligibility and Users
You may use the Services only if you:
Are at least the age of majority in your place of residence, or are participating under the supervision of an institution or instructor that has authority to involve you.
Have been given access by SageSims or by an authorized administrator of a customer organization or institution.
Have the capacity and authority to agree to these Terms on your own behalf, or on behalf of the entity you represent.
If you are using the Services on behalf of an organization, you confirm that you are authorized to bind that organization to these Terms and that “you” in these Terms refers to both you as an individual and that organization.
4. Accounts and Security
To use certain parts of the Services, you may need to create an account or be provisioned one. You agree to:
Provide accurate and complete information.
Keep your login credentials confidential and not share them with others.
Notify SageSims or your administrator promptly of any suspected unauthorized use of your account or any security incident.
You are responsible for all activity that occurs under your account, unless you have promptly reported suspected misuse.
5. License and Permitted Use
Subject to these Terms and any applicable Customer Agreement, SageSims grants you a limited, non exclusive, non transferable, revocable license to access and use the Services for your organization’s internal training, simulation, educational, and decision readiness purposes.
You may not use the Services for any purpose that is unlawful or prohibited by these Terms, the Acceptable Use Policy, or any Customer Agreement.
6. User Responsibilities
You agree to:
Use the Services in a professional, respectful manner consistent with the Simulation Participant Code of Conduct.
Comply with all applicable laws and regulations, as well as your organization’s internal policies.
Use the Services only in the scope authorized by your organization or SageSims.
Ensure that any information you input is accurate, and that you have the right to share it in the context of the Services.
You are responsible for maintaining your own devices, network connections, and browser configurations needed to access the Services.
7. Prohibited Uses
You must not use the Services, or allow anyone else to use the Services, to:
Violate any law or regulation.
Harass, threaten, or harm others.
Upload, transmit, or distribute any malware, virus, or other harmful code.
Attempt to probe, scan, or test the vulnerability of any SageSims system or network without prior written authorization.
Circumvent or attempt to circumvent any security or authentication measures.
Misuse SageSims scenarios, content, or software by copying, redistributing, or creating derivative works, except as expressly permitted in a Customer Agreement.
Use the Services to run unrelated production workloads, financial transactions, or live business operations.
Additional rules and examples are set out in the SageSims Acceptable Use Policy. That policy is an integral part of these Terms.
8. Intellectual Property
The Services, including all content, simulations, code, designs, interfaces, logos, and documentation, are owned or licensed by SageSims and are protected by intellectual property and other laws.
Except for the limited license described in Section 5, you obtain no rights in or to the Services. You must not:
Copy, modify, adapt, translate, or create derivative works of the Services.
Reverse engineer, decompile, or attempt to extract source code, except where permitted by law and then only with prior written notice to SageSims.
Remove, alter, or obscure any proprietary notices.
SageSims reserves all rights not expressly granted in these Terms or a Customer Agreement.
9. User Content
You and your organization remain responsible for any data, text, decisions, comments, or other content you or your organization upload or generate through the Services (“User Content”).
You represent and warrant that you or your organization have all necessary rights to provide User Content and to permit its use in connection with the Services, and that User Content does not violate applicable law or the rights of any third party.
To the extent needed to provide and improve the Services, and subject to any Customer Agreement, you grant SageSims a limited, worldwide, non exclusive license to host, process, display, and use User Content. SageSims may also create and use de identified or aggregated data derived from User Content for analytics, research, and product improvement.
10. Privacy
SageSims’ collection and use of personal information through the Services is described in the SageSims Privacy Policy. That policy explains what personal information we collect, how we use it, and your rights and choices.
When SageSims processes personal data on behalf of a customer organization, that organization’s privacy notices and instructions control, as further described in any applicable Data Processing Addendum.
11. Third Party Services and Links
The Services may integrate with or link to third party websites, platforms, or services. SageSims does not control and is not responsible for third party content or services.
Use of any third party service is subject to that third party’s terms and policies. SageSims is not liable for any damage or loss arising from your use of any third party website or service.
12. Trials and Online Purchases
From time to time, SageSims may offer online trials, evaluations, or self service purchases of certain Services. Additional terms may apply and will be presented at the time of sign up or checkout.
Unless otherwise stated, trials are provided for evaluation only, on an “as is” basis, and may be modified or discontinued at any time. If you provide payment details for a subscription or license, you authorize SageSims or its payment processor to charge applicable fees in accordance with the terms displayed at purchase and any applicable Customer Agreement.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.
SageSims specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non infringement. SageSims does not warrant that the Services will be uninterrupted, error free, secure, or free of harmful components, or that any simulation outcome will reflect real world performance or guarantee any particular business results.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
14. Limitation of Liability
To the maximum extent permitted by law, in no event will SageSims, its affiliates, officers, employees, or agents be liable for any:
Indirect, incidental, special, consequential, or punitive damages.
Loss of profits, revenue, goodwill, data, or business opportunities.
Arising out of or in connection with your use of or inability to use the Services, even if SageSims has been advised of the possibility of such damages.
To the maximum extent permitted by law, SageSims’ total aggregate liability arising out of or relating to the Services or these Terms will be limited to the amount you or your organization paid to SageSims for access to the Services in the twelve (12) months preceding the event giving rise to the claim, or, if you have not paid SageSims, one hundred US dollars (USD 100).
Some jurisdictions do not allow limitations of liability for certain types of damages. In those cases, the above limitations apply to the fullest extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless SageSims and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:
Your violation of these Terms, the Acceptable Use Policy, or the Simulation Participant Code of Conduct.
Your misuse of the Services.
Any User Content you submit or actions you take through the Services.
Where you access the Services as part of an organization, your organization may have additional indemnity obligations under a Customer Agreement.
16. Suspension and Termination
SageSims may suspend or terminate your access to some or all of the Services immediately, with or without notice, if we reasonably believe that:
You have violated these Terms, the Acceptable Use Policy, or applicable law.
Your use of the Services creates a security risk or may cause harm to other users, SageSims, or third parties.
We are required to do so by law or by a court or governmental authority.
Your organization or institution may also suspend or terminate your access. Upon termination, your license to use the Services ends and you must stop all use of the Services. Sections that by their nature should survive termination will continue to apply, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.
17. Governing Law and Dispute Resolution
These Terms will be governed by and construed in accordance with the laws of [insert jurisdiction], without regard to its conflict of laws rules.
Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in [insert venue], except where applicable law provides you with mandatory consumer protections or jurisdiction rules that cannot be waived.
If a Customer Agreement includes its own governing law or dispute resolution provisions, those provisions will apply to disputes covered by that Customer Agreement.
18. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Effective Date” at the top of this page and may provide additional notice through the Services or to customer contacts.
Your continued use of the Services after updated Terms become effective means you accept those changes. If you do not agree to the updated Terms, you must stop using the Services.
